Terms & Conditions for EliteCRM

Effective Date: March 12, 2024

These Terms & Conditions ("Terms") govern your use of EliteCRM ("the Service"), a software service provided by The Elite Agency ("we", "us", "our", or "the Company"). By accessing or using EliteCRM, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use EliteCRM.

1. License and Access

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable license to access and use EliteCRM for your internal business purposes. You may not sublicense, resell, or distribute EliteCRM without our prior written consent.

2. User Accounts

You may be required to create a user account to access certain features of EliteCRM. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

3. Acceptable Use

You agree to use EliteCRM in compliance with all applicable laws, regulations, and these Terms. You may not use EliteCRM for any unlawful or unauthorized purpose, including but not limited to:

-Violating the rights of others, including intellectual property rights.

-Uploading or transmitting malicious code, viruses, or harmful content.

-Interfering with the operation or security of EliteCRM or other users' use of EliteCRM.

4. Intellectual Property

EliteCRM and its content, including but not limited to text, graphics, logos, and software, are protected by copyright, trademark, and other intellectual property laws. You may not reproduce, modify, or distribute EliteCRM or its content without our prior written consent.

5. Disclaimer of Warranties

EliteCRM is provided on an "as is" and "as available" basis, without warranties of any kind, express or implied. We do not warrant that EliteCRM will be uninterrupted, error-free, or free of viruses or other harmful components.

6. Limitation of Liability

In no event shall we be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of EliteCRM, even if we have been advised of the possibility of such damages.

7. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, liabilities, and expenses (including attorney fees) arising out of or related to your use of EliteCRM, violation of these Terms, or infringement of any third-party rights.

8. Facebook Advertising Charges and Campaign Cancellation

By engaging EliteCRM for Facebook advertising services, the Client acknowledges and agrees to the following:

- The Client is solely responsible for all charges billed directly by Facebook, including but not limited to advertising spend, account fees, and any associated costs.

- Facebook advertising charges are non-refundable under all circumstances, including if the Client cancels services or experiences dissatisfaction with advertising performance.

- The Company is not responsible for any Facebook charges incurred by the Client, regardless of campaign results, account performance, or cancellation status.

- To cancel an active Facebook advertising campaign managed by the Company, the Client must submit a written cancellation request (sms or email is acceptable) and receive written confirmation from the Company acknowledging the cancellation.

- Cancellation requests are not effective until the Client has received written confirmation from the Company. Charges may continue to accrue until such confirmation is provided.

9. Termination

We reserve the right to suspend or terminate your access to EliteCRM at any time, with or without cause, and without prior notice. Upon termination, your license to use EliteCRM will cease, and you must cease all use of EliteCRM and delete any copies of EliteCRM in your possession.

10. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of California, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms shall be resolved exclusively by the courts of California.

11. Changes to These Terms

EliteCRM reserves the right to modify, update, or revise these Terms and Conditions at any time, without prior notice to users. It is the Client’s responsibility to review the Terms and Conditions periodically for any changes. Continued use of the Company’s services after any modifications constitutes acceptance of the updated Terms and Conditions.
